ANTI DIGITAL TALENT LICENSE
Effective Date: [DATE]
Version: 1.0
This Digital Talent License ("License") forms part of the ANTI Terms of Use.
It defines the rights granted when a customer creates or receives content featuring ANTI Digital Talent.
1. DEFINITIONS
"Digital Talent" means synthetic or digitally created talent, characters, models, identities, and associated identity systems made available by ANTI.
"Generated Output" means an image, video, or other creative asset generated for the customer through ANTI.
"Customer Content" means material submitted by or on behalf of the customer.
"Standard License" means the non-exclusive commercial license described below.
"Exclusive License" means additional exclusivity expressly purchased and documented in an applicable Exclusive Digital Talent License Schedule.
2. STANDARD COMMERCIAL LICENSE
Subject to payment and compliance with this License and the Terms of Use, ANTI grants the customer a worldwide, non-exclusive, commercial license to use lawfully created Generated Outputs.
Permitted uses include:
Unless otherwise agreed, the Standard License to an existing lawful Generated Output is perpetual.
Termination of a subscription does not, by itself, require the customer to remove previously licensed Generated Outputs.
3. WHAT THE LICENSE DOES NOT INCLUDE
The Standard License grants rights in the customer's permitted use of Generated Outputs.
It does not sell, assign, or transfer the underlying Digital Talent to the customer.
The customer does not acquire:
4. DIGITAL TALENT PROTECTION
The customer may not use Digital Talent or Generated Outputs for the purpose of cloning, extracting, reconstructing, training, fine-tuning, recreating, or building a substitute for the applicable Digital Talent.
Without ANTI's prior written authorization, the customer may not create or commission:
This restriction is directed at reproduction or substitution of ANTI Digital Talent and does not prohibit ordinary editing, resizing, cropping, layout, typography, retouching, color correction, or adaptation of a licensed Generated Output for a permitted campaign use.
5. CUSTOMER CONTENT
Nothing in this License transfers ownership of Customer Content to ANTI.
The customer is responsible for obtaining the rights necessary to use Customer Content.
Where Customer Content is incorporated into a Generated Output, the customer's existing rights in that Customer Content remain unaffected.
6. OUTPUT RIGHTS
ANTI grants the customer all rights that ANTI owns or controls that are reasonably necessary to exercise the commercial uses expressly permitted by this License.
ANTI does not warrant that every AI-generated element is independently eligible for copyright or equivalent protection in every jurisdiction.
Where copyright or another intellectual-property right exists in underlying ANTI materials incorporated into a Generated Output, that underlying right is not transferred merely because the customer receives a license to use the Generated Output.
Rights in a Generated Output do not constitute ownership of the underlying Digital Talent.
7. MODIFICATION OF OUTPUTS
The customer may make ordinary modifications necessary to use a Generated Output in a campaign, including cropping, resizing, adding copy, layout, compositing, retouching, and adapting an asset to different advertising formats.
Modification may not be used as a mechanism to extract, reconstruct, clone, or establish a separately reusable version of the underlying Digital Talent.
8. THIRD-PARTY USE
The customer may provide Generated Outputs to its employees, agencies, publishers, printers, media partners, retailers, platforms, production partners, and other contractors solely as reasonably necessary for permitted use of the customer's campaign.
Such operational sharing does not constitute a transfer of the Digital Talent itself.
The customer may not sublicense or distribute the Digital Talent as an independent reusable asset except where expressly authorized by ANTI.
9. EXCLUSIVITY
The Standard License is non-exclusive.
Exclusive rights exist only where expressly identified in an executed Exclusive Digital Talent License Schedule or other written agreement with ANTI.
Exclusive rights may be scoped by:
No exclusivity should be inferred from the customer's previous use of a Digital Talent, volume of Generated Outputs, subscription level, or commercial relationship with ANTI.
10. PORTFOLIO USE
Following public release of a campaign or Generated Output by or with the authorization of the customer, ANTI may display the publicly released work in its portfolio, website, social channels, case studies, presentations, press materials, or marketing.
This does not apply where ANTI has expressly agreed that the relevant work is confidential.
ANTI will not intentionally publish unreleased customer campaign materials before their authorized public release.
11. RESERVATION OF RIGHTS
All rights not expressly granted under this License are reserved.
No provision of this License should be interpreted as asserting ownership of rights that cannot legally be owned or licensed under applicable law.
12. RELATIONSHIP TO TERMS OF USE
This License forms part of the ANTI Terms of Use.
If a signed Exclusive Digital Talent License Schedule expressly conflicts with this License regarding the scope of exclusivity, the signed Schedule controls solely for that subject matter.
All other provisions of the Terms of Use and this License remain applicable.

EXTERNAL AI AND DERIVATIVE DIGITAL TALENT PROHIBITIONS
The license granted by this document is limited to the permitted use of Generated Outputs. It does not grant ownership of, or rights in, the underlying ANTI Digital Talent, including its identity, likeness, character, visual assets, references, or identity system.
Without ANTI's prior written authorization, the customer may not copy, reproduce, download, scrape, extract, reconstruct, replicate, or use ANTI Digital Talent as an image, character, identity, or reference input in an external generative AI or ML system; use it for AI/ML training or fine-tuning; create or contribute to a LoRA, checkpoint, embedding, identity model, character model, or other derivative model; include it in a dataset; reconstruct a Digital Talent identity; or intentionally create substantially similar digital talent derived from ANTI Digital Talent. These restrictions do not limit ordinary editing or adaptation of a licensed Generated Output for a permitted campaign use.
