ANTI TERMS OF USE
Effective Date: [DATE]
Version: 1.0
These Terms of Use ("Terms") govern access to and use of the ANTI website, Studio, applications, AI-powered generation services, digital talent roster, and related products and services (collectively, the "Service").
The Service is operated under the ANTI brand ("ANTI", "we", "us", or "our").
By creating an account or otherwise expressly accepting these Terms, you agree to be bound by them.
These Terms incorporate the ANTI Digital Talent License, which governs your use of Digital Talent and Generated Outputs.
1. THE SERVICE
ANTI is an AI-powered creative production platform and digital talent agency that enables users to create visual content and campaigns using digital talent made available through ANTI.
The Service may include digital talent selection, product and reference uploads, campaign creation, AI-assisted creative direction, image or video generation, generation history, asset management, downloads, and related functionality.
Features may change, be added, removed, limited, or updated over time.
2. ACCOUNTS
You must provide accurate information when creating or using an account and keep your login credentials secure.
You are responsible for activity performed through your account, except to the extent caused by ANTI's breach of its obligations or security.
You may not share access in a manner intended to circumvent account, user, subscription, credit, licensing, or access limitations.
ANTI may suspend or restrict access where reasonably necessary to protect the Service, other users, Digital Talent, intellectual property, security, or to address a material violation of these Terms.
3. CREDITS AND GENERATION
Certain functions may require credits or another paid entitlement.
Credits provide a contractual right to use specified functionality of the Service. They are not currency, stored monetary value, or ownership interests.
Applicable pricing, credit allocations, expiration rules, refund rules, and subscription terms will be disclosed at or before purchase.
AI generation is probabilistic. ANTI does not guarantee that every generation will satisfy a particular creative objective or be free from visual variations, artifacts, or other limitations inherent in generative systems.
Nothing in these Terms guarantees that any particular Generated Output will qualify for copyright or any other form of intellectual-property protection in every jurisdiction.
4. CUSTOMER CONTENT
"Customer Content" means products, photographs, artwork, logos, trademarks, reference materials, instructions, text, or other materials you submit to the Service.
As between you and ANTI, you retain the rights you hold in your Customer Content.
You grant ANTI a limited, non-exclusive license to host, reproduce, process, transform, transmit, and otherwise use Customer Content as reasonably necessary to operate the Service, provide requested generations, maintain the relevant campaign and generation history, provide support, secure the Service, and comply with law.
This license does not give ANTI the right to use your Customer Content to create campaigns for unrelated customers.
ANTI will not use Customer Content to train or fine-tune general-purpose AI models merely because that content was uploaded to the Service, unless a separate agreement or affirmative permission applicable to that use has been obtained.
You represent that you possess all rights, licenses, permissions, and authorizations necessary to submit and use Customer Content through the Service.
5. DIGITAL TALENT
"Digital Talent" means synthetic or digitally created talent, characters, models, identities, and associated identity systems made available through ANTI.
Access to or use of Digital Talent does not transfer ownership of that Digital Talent to you.
ANTI retains all rights and interests that ANTI owns or controls in its Digital Talent and associated materials, including, where applicable, names, branding, visual assets, master references, character systems, creative direction systems, confidential identity materials, and other underlying assets.
Your rights to use Digital Talent and Generated Outputs are governed by the ANTI Digital Talent License.
6. GENERATED OUTPUTS
"Generated Output" means an image, video, or other creative asset generated for you through the Service.
Subject to your compliance with these Terms, the Digital Talent License, applicable payment obligations, and third-party rights, ANTI grants you the rights ANTI owns or controls that are necessary for the permitted commercial use of your Generated Outputs.
Unless otherwise stated in a separate written agreement, a permitted Generated Output may continue to be used after your subscription or account relationship ends.
Rights to use a Generated Output do not constitute ownership of, or an unrestricted license to reproduce, the underlying Digital Talent.
Output rights and Digital Talent rights are separate.
To the extent a Generated Output contains Customer Content, your pre-existing rights in that Customer Content remain unaffected.
7. PROHIBITED USE OF DIGITAL TALENT AND ANTI TECHNOLOGY
Except where expressly authorized in writing by ANTI, you may not:
These restrictions do not prevent ordinary permitted commercial use of Generated Outputs under the Digital Talent License.
8. ANTI INTELLECTUAL PROPERTY
The Service, ANTI brand, software, interface, proprietary workflows, non-public prompts and instructions, Creative DNA, master identity materials, character systems, internal generation methods, documentation, and other proprietary materials are owned or controlled by ANTI or its licensors, as applicable.
Except for rights expressly granted under these Terms or another written agreement, no rights are transferred to you.
Nothing in these Terms should be interpreted as claiming intellectual-property rights that cannot lawfully exist or be owned under applicable law.
9. CONFIDENTIAL AND TECHNICAL MATERIALS
Certain aspects of the Service constitute confidential or proprietary business information.
Access to the Service does not authorize you to discover, extract, disclose, reproduce, or exploit non-public ANTI technology, identity systems, prompts, master references, Creative DNA, generation logic, or similar confidential materials.
10. PORTFOLIO AND PUBLICATION
Where you have publicly released a Generated Output or campaign, ANTI may identify and display that public work for portfolio, case-study, editorial, social-media, promotional, or other reasonable marketing purposes, subject to any separate written confidentiality obligation.
ANTI will not intentionally publicly reveal an unreleased customer product or campaign before its public release without authorization.
If ANTI has expressly agreed that a project is confidential, the applicable confidentiality agreement controls.
11. EXCLUSIVE DIGITAL TALENT
Standard access to Digital Talent is non-exclusive unless expressly stated otherwise.
Exclusive rights are available only where ANTI and the customer enter into an applicable Exclusive Digital Talent License Schedule or other written agreement.
Exclusivity may be limited by talent, product category, industry, territory, media, competitors, duration, campaign, or other agreed parameters.
Payment for exclusivity does not transfer ownership of the Digital Talent unless an agreement expressly states otherwise.
12. THIRD-PARTY SERVICES AND AI PROVIDERS
The Service may rely on third-party infrastructure, AI providers, hosting providers, payment providers, or other technical services.
Use of such providers does not expand your rights in ANTI Digital Talent or ANTI proprietary materials.
ANTI may change technical providers without changing the commercial scope of a valid Digital Talent license, subject to applicable law and any express agreement with you.
13. ACCEPTABLE USE
You may not use the Service to create or distribute unlawful material, infringe intellectual-property or privacy rights, impersonate another person unlawfully, interfere with the Service, introduce malicious code, bypass technical restrictions, or use the Service in a manner reasonably likely to harm ANTI, its customers, its Digital Talent, or third parties.
14. SUSPENSION AND TERMINATION
You may stop using the Service at any time.
ANTI may suspend or terminate access for a material breach of these Terms, fraud, security abuse, unlawful conduct, non-payment, or material infringement of ANTI's or another person's rights.
Where reasonably practicable and appropriate, ANTI may provide notice and an opportunity to cure before termination.
Termination does not automatically terminate rights already granted to lawfully created Generated Outputs unless the applicable license, an order, law, or separate agreement provides otherwise.
Provisions concerning intellectual property, Digital Talent restrictions, confidentiality, accrued payment obligations, disclaimers, liability, and dispute resolution survive where their nature requires.
15. DISCLAIMER
The Service uses generative artificial intelligence and other automated technologies.
Generated Outputs may contain variations, inaccuracies, artifacts, or unexpected elements.
You remain responsible for reviewing Generated Outputs before publication or commercial use, including where legal, regulatory, advertising, product-accuracy, or third-party-rights requirements apply.
Except as required by applicable law or expressly agreed in writing, the Service is provided without guarantees that every Generated Output will be unique, registrable, protectable, or suitable for every intended purpose.
16. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, ANTI will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the Service.
No specific monetary liability cap applies under these Terms unless separately agreed in writing or added following legal review.
17. CUSTOMER RESPONSIBILITY
To the extent permitted by applicable law, you are responsible for claims arising from Customer Content you did not have the right to use, your unlawful use of the Service, or your material breach of these Terms or the Digital Talent License.
18. CHANGES TO THESE TERMS
ANTI may update these Terms as the Service evolves.
Where a change materially affects existing contractual rights, ANTI will provide notice as required by applicable law.
The version accepted by a user and the date of acceptance may be recorded by ANTI.
Where renewed acceptance is legally required or appropriate because of a material change, ANTI may require affirmative acceptance before continued use of affected functionality.
19. GOVERNING LAW
Nothing in these Terms limits rights that cannot lawfully be waived under applicable law.
The governing law and dispute-resolution provisions may be supplemented following legal review.

DIGITAL TALENT PROTECTION AND EXTERNAL AI USE
ANTI Digital Talent, including names, appearances, likenesses, model identities, characters, visual characteristics, portraits, images, video, audio, metadata, prompts, reference materials, and related identity assets, is proprietary ANTI content. Except for the limited rights expressly granted for authorized Generated Outputs, no license or ownership is granted in the underlying Digital Talent.
Except where ANTI gives prior written authorization, you may not copy, reproduce, download, scrape, extract, reconstruct, replicate, or create intentionally substantially similar digital talent derived from ANTI Digital Talent; use ANTI Digital Talent as an image, character, identity, or reference input in an external generative AI or ML system; use it for AI/ML training or fine-tuning; create a LoRA, checkpoint, embedding, identity model, character model, or other derivative model; include it in a dataset; or use it to extract or reconstruct a Digital Talent identity.
Your license applies only to the permitted use of Generated Outputs created through the Service and does not transfer rights in the underlying ANTI Digital Talent or authorize external reference-based generation, identity replication, or character cloning.
